These Terms of Service ("Terms") govern your access to and use of the Smart Scan application and related services (collectively, the "Service") provided by Smart Scan ("we," "our," or "us").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Account Registration and Security

To use certain features of the Service, you may need to create an account. You are responsible for:

• Providing accurate and complete information during registration

• All activities that occur under your account

We reserve the right to disable any user account if we believe you have violated these Terms or if we determine that your account poses a security risk.

3. Service Description

Smart Scan is a warehouse scan-session logging service that allows users to:

• Document incoming and outgoing sessions using UPC scanning
• Organize session logs and box assignments
• Generate reports and shipping labels for downstream systems
• Manage a UPC catalog and related product information
• Assign role-based permissions to users

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice.

4. User Responsibilities

When using our Service, you agree to:

• Comply with all applicable laws and regulations
• Provide accurate session and product information
• Use the Service only for legitimate business purposes
• Respect the role-based access controls and permissions
• Not attempt to gain unauthorized access to any part of the Service
• Not use the Service to store or transmit harmful code or content
• Not interfere with or disrupt the integrity or performance of the Service

5. Data and Content

You retain all rights to the session data and content you submit to the Service. By submitting data to the Service, you grant us a worldwide, non-exclusive license to use, store, and process that data solely for the purpose of providing and improving the Service.

We do not claim ownership of your data. However, you are solely responsible for the accuracy and legality of all data you submit to the Service.

6. Intellectual Property

The Service and its original content, features, and functionality are owned by Smart Scan and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, create derivative works, publicly display, publicly perform, republish, or transmit any material from the Service without our prior written consent.

7. Subscription and Payment

Access to certain features of the Service may require a paid subscription. By subscribing to a paid plan:

• You agree to pay all fees in accordance with the pricing and payment terms
• You authorize us to charge your designated payment method
• You agree that subscriptions will automatically renew unless canceled before the renewal date
• You understand that refunds are provided in accordance with our refund policy

To the maximum extent permitted by law, Smart Scan shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, resulting from:

• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

In no event shall our total liability to you for all claims exceed the amount you paid to us for the Service during the 12 months preceding the event giving rise to the liability.

9. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

We do not warrant that the Service will function uninterrupted, secure, or available at any particular time or location, or that any errors or defects will be corrected.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
